Service Repair Contract

1. Contract Purpose


These intervention conditions aim to define the terms and conditions under which David Shaw Informatique Sàrl (hereinafter referred to as 'Service Provider') provides occasional IT services to the client (hereinafter referred to as 'Client').

2. Services Provided


  • Technical assistance and IT troubleshooting.
  • Preventive and corrective maintenance of IT systems.
  • Installation and configuration of software and hardware.
  • Securing IT systems.
  • IT consulting and training.

3. Conditions of Intervention


3.1. Intervention Hours

Interventions will take place during the following hours:

  • Monday to Friday, from 08:00 to 18:00.
3.2. Response Time

The Service Provider agrees to intervene within 24 working hours following receipt of the intervention request, subject to technician availability and the nature of the intervention.

3.3. Access to Equipment

The Client agrees to provide the Service Provider with full access to the equipment and premises necessary for the intervention. Any access restriction that may cause delays cannot be attributed to the Service Provider.

3.4. Client Responsibilities
  • The Client must back up their data before any intervention.
  • The Client must provide accurate information regarding the issues encountered.
  • The Client must follow the recommendations provided by the Service Provider.
3.5. Service Provider Responsibilities
  • The Service Provider agrees to maintain the confidentiality of the Client's data.
  • The Service Provider will take all necessary measures to ensure the quality of the services provided.
  • In case of technical impossibility or unforeseen obstacles, the Service Provider will inform the Client as soon as possible.
3.6. Appointment Cancellation

In case of cancellation of the appointment by the Client within 24 hours before the intervention, a fee of 75 CHF will be charged.

4. Pricing

The rates for the services offered above are based on an hourly rate of 150 CHF per hour, excluding VAT and expenses.

Travel expenses are 50 CHF per hour, excluding VAT, within the canton of Geneva.

5. Billing and Payment

A timesheet will be presented for each intervention, and an invoice will be issued at the end of each intervention, payable within 30 days from the invoice date.

6. Warranty and Limitations

The Service Provider guarantees the quality of its interventions; however, it cannot be held responsible for indirect damages, data loss, or subsequent malfunctions not related to its intervention.

7. Confidentiality

The Service Provider agrees not to disclose the Client's confidential information accessed during its interventions, except as required by law.

8. Force Majeure

The Service Provider cannot be held responsible for non-performance or delays in performing its obligations due to circumstances beyond its control (force majeure).

9. Applicable Law and Jurisdiction

These intervention conditions are governed by Swiss law. In case of a dispute, the parties agree to seek an amicable solution before taking the matter to court.
